Terms of Service
Last updated: May 26, 2026. These terms govern your use of the Empire Global Partner Network platform.
1. Acceptance of terms
By accessing the Empire Global Partner Network ("EGPN") platform or using any of our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms apply to all users including registered education agents, partner institutions, sub-agents, applicants referred through the network, and visitors browsing the public site. You must have the legal capacity to enter into a binding contract and the authority to act on behalf of any business you register for.
2. Service description
EGPN provides a partner network platform connecting education agents and sub-agents with universities and institutions worldwide. Services include partner onboarding and verification, student pipeline tracking, application processing, agreement management, commission tracking, leaderboard and reporting tools, and training resources. EGPN does not guarantee student placements, application outcomes, commission payments, or any specific result. Substantive placement, admission, and commission decisions remain with the partner institutions.
3. Eligibility, accounts, and partner verification
You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information during registration, including valid business documentation (company registration certificate, agent licence where required, signatory details). Partner accounts are subject to verification before full platform access is granted; we may request additional documents and may refuse or revoke verification at our discretion. You may not share your account with third parties or use another person's account without authorization.
4. Acceptable use
You agree not to misrepresent your qualifications or business credentials; submit fraudulent student applications, documents, or financial statements; share confidential commission rates or partnership terms with unauthorized parties; use the platform to recruit students for institutions not listed on EGPN; circumvent EGPN by taking referred students off-platform once introduced; pay or receive bribes; or violate any applicable laws or regulations in your operating jurisdiction. Sub-agents must be registered through your account and are bound by these terms as if they were direct partners.
5. Partner network agreement
By registering as a partner, you enter into a network membership agreement with EGPN that runs alongside any individual institutional partnership agreements you sign. The network membership covers your access to the platform, your use of platform-mediated communications and document management, your eligibility to receive referral commissions facilitated through the platform, and your responsibility to maintain accurate and current data. EGPN may publish your verified business name and territory on the network directory unless you opt out in writing.
6. Partner obligations
As a registered partner, you agree to: maintain accurate and up-to-date business information and signatory details; comply with all applicable education-agent licensing requirements in your country (including registration with national regulators where required); provide honest and transparent guidance to students about course costs, visa requirements, accommodation, and graduate prospects; promptly report changes to your business status, credentials, or licensing; abide by the terms of individual partnership agreements with institutions; and submit complete and truthful applications on behalf of students who have consented to representation.
7. Student consent and data handling
You may only submit applications and documents on behalf of students who have given you informed consent to act as their agent and to share their personal data with EGPN and the destination institution. You are responsible for collecting and retaining evidence of that consent and for honouring students' data-protection rights, including correction and deletion requests. EGPN processes student data as described in our Privacy Policy and may decline to forward applications where consent appears to be missing or invalid.
8. Referral commissions and payments
Commission rates, payment terms, invoicing processes, qualifying-enrolment definitions, and clawback provisions are governed by individual partnership agreements between partners and institutions, facilitated through EGPN. EGPN provides tracking, statement, and payout-coordination tools but is not the principal payer of commissions unless explicitly contracted as such. Commissions are typically paid after student enrolment is verified by the institution and may be subject to clawback if the student withdraws, defers, or fails to commence studies within the institution's defined window. Disputes about commission amounts or payment timing should first be raised with the relevant institution; EGPN can mediate but cannot enforce remedies outside its contracted scope.
9. Sub-agent and referral chain rules
Partners may onboard sub-agents through the platform. Primary partners remain responsible for the conduct of their sub-agents and for any commission splits with them. Commission attribution follows the first-verified-referral rule unless the institutional agreement specifies otherwise. Attempts to claim attribution for students already in another partner's pipeline will be reviewed and may result in account suspension.
10. Your content and license to us
When you upload partner profiles, student documents, marketing assets, messages, or other content ("Your Content"), you retain ownership and remain solely responsible for the content's lawfulness and accuracy. You grant EGPN a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, transmit, display, and use Your Content to operate the platform, share with destination institutions you are referring students to, and improve the services. The licence ends when you delete Your Content or close your account, except for backup copies retained for a limited period and content already shared with institutions.
11. Intellectual property
All software, platform design, branding, AI models, training materials, and EGPN-produced content on the platform are the property of EGPN or its licensors and are protected by intellectual property laws. The EGPN name and logos are trademarks of the operating entity. Partner-submitted content remains the property of the submitting party. Institution-provided course information, brochures, and marks remain the property of the relevant institution and are used under licence.
12. AI features
EGPN provides AI-assisted features such as application-quality scoring, commission-forecast reports, automated reminders, and conversational support. AI outputs are suggestions only and may be inaccurate, incomplete, or biased. You must independently review applications and decisions; do not rely solely on AI scores for material business decisions. EGPN makes no warranty of fitness or accuracy with respect to AI outputs.
13. Limitation of liability
To the maximum extent permitted by law, EGPN shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of our services, including but not limited to lost commissions, failed applications, visa refusals, institutional decisions, fluctuations in commission rates, or losses caused by sub-agents or institutions. Our total aggregate liability for any claim shall not exceed the platform fees paid by you to EGPN in the 12 months preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless EGPN, its affiliates, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from Your Content; your use of the services; your acts or omissions as an education agent; the acts or omissions of your sub-agents; your violation of these terms; your violation of any applicable law including data-protection and agent-licensing regulations; or your infringement of any third-party right.
15. Suspension and termination
Either party may terminate the network membership agreement at any time with notice. EGPN may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, fail to meet partner verification requirements, fail to pay applicable fees, or if required by law. Upon termination, outstanding commission obligations between partners and institutions survive per the relevant institutional agreements; EGPN will continue to facilitate the reconciliation of in-flight commissions in good faith for a reasonable period. Sections that by their nature should survive termination will survive, including ownership, limitations of liability, indemnification, and dispute resolution.
16. Governing law
These terms are governed by the laws of the United Arab Emirates without regard to conflict-of-laws principles. Individual institutional partnership agreements may specify their own governing law for the commission relationship between the partner and the institution; that choice prevails for those commercial matters.
17. Dispute resolution
The parties will first attempt to resolve any dispute informally by good-faith negotiation. If the dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration administered under the rules of the Dubai International Arbitration Centre (DIAC), seated in Dubai, conducted in English, by a single arbitrator. Either party may seek interim or injunctive relief in any court of competent jurisdiction. Nothing in this clause restricts your right to bring a claim before a relevant data-protection or education-agent regulatory authority.
18. Changes to terms
We reserve the right to modify these terms at any time. We will notify registered partners of material changes via email at least 14 days before they take effect, except for changes required for legal or security reasons which may take effect immediately. Continued use of our services after changes constitutes acceptance of the updated terms.
